Carlos's practice focuses on business litigation, corporate governance and compliance matters, and internal investigations and government enforcement actions and proceedings. Carlos also provides antitrust consultation on competitor collaborations, including joint ventures. As a litigation Partner in the Houston office, Carlos has developed a reputation as a go to lawyer and a trusted advisor to a diverse group of clients, including energy companies, financial and professional services firms, banks, transportation and distribution companies, technology firms, and industry associations and trade groups. In-house counsel, executive management, business principals and directors of private and public companies routinely seek out Carlos for representation in litigation matters and other business disputes and controversies.
Carlos has consistently been recognized in peer publications as a leading practitioner. He was selected as one of "Houston's Top Lawyers" for business litigation in the H Texas Magazine, June 2010. Carlos has been recognized as a Rising Star in business litigation in "Texas Rising Stars," Litigation, Law & Politics (consecutively from 2004 - 2013). Carlos was also recognized as a lawyer on the fast track in "Lawyers on the Fast Track," H Texas Magazine (2004).
Litigation: Carlos's litigation experience covers both state and federal forums, having represented clients in both federal and state courts in various matters involving business and commercial disputes, business torts, breach of contract, fiduciary duty litigation, partnership and joint venture disputes, majority and minority shareholder disputes, banking disputes, debtor and creditor disputes, antitrust and securities litigation, commercial bribery and fraud, class action suits, shareholder derivative actions, slander and business disparagement, theft of trade secrets and covenant and non-competition litigation.
Internal Corporate Investigations and Compliance: Carlos has represented corporate clients in internal investigations conducted both independently and in parallel or conjunction with concurrent civil, criminal, and administrative investigations pending before the United States Department of Justice ("DOJ"), Securities and Exchange Commission ("SEC"), Department of Commerce's Bureau of Industry and Security ("BIS"), Federal Bureau of Investigations ("FBI"), U.S. Department of Treasury's Office of Foreign Assets Control ("OFAC"), United States Attorney's Office ("USAO"), and other federal regulatory and administrative law enforcement agencies. His investigation experience covers the globe, having assisted clients with investigations in the United States and abroad in various foreign jurisdictions, countries, and international markets, including Canada, continental Europe, the Middle East, Asia, Africa, among other foreign territories, on a range of subjects, including:
- Transactions with countries subject to US economic sanctions and embargo regulations
- Allegations of bribery of foreign officials and foreign corrupt practices under the Foreign Corrupt Practices Act
- Whistleblower allegations
- Self-dealing transactions
- Corporate malfeasance, waste, and abuse
- Fiduciary duty breaches and related claims
- Financial disclosure misconduct
- Options backdating
Enforcement: Carlos has represented and defended clients in matters pending before the Texas State Securities Board pertaining to alleged securities fraud under the Texas Securities Act. Carlos has also represented clients in matters pending before the SEC and DOJ. He has assisted clients in responding to and providing testimony in government probes and information and document requests by government agencies both at the federal and state level.

- Representation of investment firm in $30 million private equity investment litigation
- Representation of client in $40 million dollar suit alleging breach of contract, conversion and fraud claims relating to disputed oil and gas interests
- Representation of major energy services contractor in $30 million suit alleging commercial bribery, fraud, breach of fiduciary duty, and breach of contract in connection with offshore turnkey decommissioning contract and sale of offshore assets
- Representation of major equipment manufacturer in defeat of shareholder derivative suit seeking to block $1 billion merger
- Representation of major onshore drilling service provider in proceedings seeking the recovery of $70 million wrongfully diverted by a former CFO
- Representation of equity investors in securities fraud litigation seeking the recovery of their $34 million capital investment in a joint venture investment vehicle
- Representation of major waste service company in $10 million suit brought by commercial plaintiff alleging slander, business disparagement, breach of contract, breach of fiduciary duty, tortious interference, negligence and fraud
- Representation of lender in $8 million loan default litigation
- Representation of energy client in theft and misappropriation of trade secrets litigation
- Antitrust counsel for global trade association composed of domestic and international oil and gas majors, energy trading and marketing companies and various industry service providers engaged in standards-setting initiatives in the energy industry
- Antitrust counsel for chemicals manufacturer in pre-closing due diligence phase of FTC-mandated spin off in an FTC-approved merger of competitors
- Antitrust counsel for waste management company in joint venture discussions with competitor
- Advising partnership composed of oil and gas majors on antitrust considerations applicable to joint venture restraints
- Representation of oil major in defeat of private antitrust action filed by various plaintiffs against various oil and gas producers, alleging price fixing, price discrimination and monopolization
- Representation of broker dealer client and 15 individual brokers in regulatory matter before state securities commission involving securities fraud claims concerning the suitability of corporate bonds sold to clients, where commission threatened enforcement action, potential revocation of client's dealer license, and assessment of substantial penalties and fines
- Representation of major insurance carrier in statewide class actions brought by state attorney general and private parties concerning dispute over premiums and coverage
- Representation of Special Committee of board of directors in internal review of options backdating practices
- Representation of client in international investigation into dealings with sanctioned countries and alleged violations of U.S. anti-bribery and anti-corruption laws

He was admitted to practice in Texas in 2000, and is admitted to practice before the United States District Courts for the Southern District of Texas, Eastern District of Texas and Western District of Texas.
