Mara Rogers is a partner in the New York office, and her broad-based corporate and securities practice includes extensive experience in:
- mergers and acquisitions for both public and private domestic and foreign corporations;
- the representation of issuers and underwriters in public and private offerings of equity and debt securities;
- the representation of investors and issuers in venture capital and private equity financings;
- the representation of corporate debtors in connection with bank and other institutional lending and restructuring of debt;
- counseling on compliance with U.S. securities laws for domestic and foreign companies; and
- counseling on corporate governance, fiduciary duties and various other corporate law matters.
Ms. Rogers also advises clients on business start-ups, strategic alliances, joint ventures, licensing and other domestic and international business transactions and agreements.
From July 2008 until April 2010, Ms. Rogers spent a substantial portion of her time serving as acting general counsel to an international provider of software solutions to the global oil and natural gas exploration and production industry.
